1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Subtrio software platform (the “Service”) offered by Subtrio (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with all Terms, you are not authorized to use the Service.

2. Description of the Service

Subtrio provides an all-in-one marketing and business automation platform designed to help entrepreneurs manage and scale their online businesses. The Service includes, but is not limited to, the following features:

Unlimited contacts

Unlimited products

Unlimited course and membership portals

Unlimited community groups

Unlimited websites

Unlimited funnels

Unlimited workflow automation (excluding premium triggers/actions)

Unlimited social media scheduling

Unlimited calendars

Unlimited domain connections (excluding email domains)

Unlimited transaction processing

3. The Subtrio Plan

The Subtrio Plan is a subscription-based plan that provides access to the features listed above. The pricing for your plan is displayed at checkout and billed according to your chosen payment frequency.

4. Complimentary Credit

As part of your Subtrio Plan, you’ll receive a $10 USD monthly credit in your account wallet. This credit is equivalent to approximately 10,000 emails and can be used toward optional add-on services. Unused credits do not roll over and are non-refundable.

5. Additional Services and Fees

Additional services such as SMS marketing, phone calls, premium integrations, and email verification are available within the Subtrio platform at an extra cost. Complimentary credits can be applied toward these services, but your wallet will be charged for any usage beyond your balance.

You must maintain a minimum wallet balance of $10 USD to continue using these additional services. By subscribing to Subtrio, you accept full responsibility for all charges incurred.

6. Email Verification

Subtrio provides an optional email verification service to help maintain list quality and deliverability. This feature verifies emails before your first send and re-verifies every 3 months to minimize bounces and spam reports.
Verification is billed at $0.0025 USD per email (approximately 4,000 verifications for $10). You can enable or disable this feature anytime under Settings → Business Profile → Email Verification.

7. Modifications to the Service and Terms

We reserve the right to modify or update the Service and these Terms at any time without prior notice. Any updates will be posted on our website. Continued use of the Service after updates are posted constitutes acceptance of the new Terms.

8. Term, Termination, and Suspension

8.1 Overall Term

These Terms remain in effect as long as you use the Service. Subtrio may suspend or terminate your access at any time, with or without notice, for any reason. Termination does not affect any other rights we may have under law.

8.2 Account Cancellation by User

If you cancel your Subtrio account, all data (websites, funnels, courses, contacts, emails, etc.) will be permanently deleted within 72 hours.
Data is not transferable, and Subtrio is not liable for any loss. Please back up your data before canceling.

To cancel:
Submit your cancellation request by emailing support@subtrio.com. This is the only valid method to process cancellations.

Cancellations are processed within 72 hours.

You’ll retain access until the end of your billing period.

No refunds are issued for partial billing periods.

8.3 Paused Account Option

You may request to pause your account for up to 3 months for a $10/month fee. During this time:

Platform access is suspended.

Data is securely retained.

Automated functions (like email verification) are disabled.

Requests must be emailed to support@subtrio.com. Failure to pay the pause fee may result in full account cancellation.

8.4 Platform Closure

Subtrio is powered by the HighLevel infrastructure. If Subtrio ceases operations, all active users will be offered a direct transfer option to HighLevel to preserve their sub-account data and access. Reasonable notice and assistance will be provided.

8.5 Account Inactivity and Data Retention

Unpaid Accounts: Inactive unpaid accounts are retained for 90 days before permanent deletion.

After 90 Days: All data is permanently deleted unless you activate the $10/month pause plan.

Failed Payments: Accounts with failed payments may be deleted at the end of the billing cycle.

9. Disclaimer

The Service is provided “as is” and “as available” without any warranties, express or implied. Subtrio does not guarantee uninterrupted or error-free service.

10. Payment of Fees

Payment Methods: Payments are processed via Stripe. You’re responsible for any bank or currency conversion fees.

Billing: Your subscription renews automatically based on your plan (monthly/annually).

Disputes: Billing discrepancies must be reported within 14 days of receipt.

Taxes:

U.S. customers: Fees exclude applicable taxes.

Refunds: Subtrio does not issue refunds. You may cancel at any time to prevent future billing.

11. Limitation of Liability

11.1 Exclusion of Certain Damages

Subtrio and its affiliates shall not be liable for indirect, incidental, or consequential damages, including:

Lost profits or business revenue

Data loss

Claims from third parties

11.2 Limitation of Liability

Total liability under these Terms shall not exceed the amount paid for your plan during the one (1) month period in which the issue occurred.
Add-on credits (emails, SMS, etc.) are non-refundable.

11.3 Notes

This limitation applies regardless of legal theory (contract, negligence, etc.). Some jurisdictions may not allow this exclusion.

12. Governing Law

These Terms are governed by the laws of Florida, United States. You agree to the exclusive jurisdiction of the courts located in Florida for all disputes.

13. Entire Agreement

These Terms represent the complete agreement between you and Subtrio and supersede all prior agreements or communications.

14. Restrictions on Content Use

You agree not to:

Redistribute or resell Subtrio content.

Use Subtrio assets for commercial gain outside the Service.

Copy, duplicate, or create derivative works without written permission.

15. Account Usage and Portability

15.1 Subtrio Accounts

Your Subtrio subscription gives you access to exclusive templates, automations, systems, and resources developed by the Subtrio team. These assets represent hundreds of hours of development and are intentionally available only within Subtrio.

We’re unable to transfer Subtrio accounts (or any previously held Subtrio accounts) to another Go High Level agency. This restriction protects the integrity of our proprietary systems and ensures that our members continue to receive Subtrio-exclusive updates, support, and tools.

If you wish to transfer your sub-account to another Go High Level agency, you may request a buy-out transfer. The one-time buy-out fee is $997 USD, payable before release. Once processed, your sub-account will be transferred directly to the agency of your choice, and Subtrio will no longer provide access, support, or updates for that account.

15.2 Competing Agencies

Individuals affiliated with competing Go High Level agencies may not:

Access or join the Subtrio platform in any form

Use another person’s account to view or duplicate Subtrio content

Solicit Subtrio users or replicate our intellectual property, systems, or templates

16. Content Liability

You are solely responsible for content hosted or shared through your Subtrio account. You agree to defend and indemnify Subtrio against any related claims.

17. Acceptable Use

You agree to comply with all applicable laws. You may not use Subtrio to send spam, hack systems, distribute malware, or interfere with other users or networks.

18. Indemnity

You agree to indemnify and hold harmless Subtrio, its team, and affiliates from any claims, damages, or expenses arising from your use of the Service or breach of these Terms.

19. Force Majeure

Subtrio shall not be held liable for service interruptions caused by events beyond our control (natural disasters, cyberattacks, etc.).

20. Severability

If any part of these Terms is found unenforceable, the remaining sections remain in full effect.

21. Waiver

Failure to enforce any part of these Terms does not constitute a waiver of our rights.

22. Changes to These Terms

We may update these Terms at any time. Material updates will be communicated at least 2 days before taking effect. Continued use after that time constitutes acceptance.
